Methods of LLC Registration

We register LLCs in two ways – depending on the Client's preferences.

Traditionally with a notary, who drafts the company’s articles of association. This process is longer and more expensive than electronic registration, but it allows for the preparation of a more comprehensive agreement and is a good solution for people without a PESEL number or a trusted profile, including foreigners who want to start their business in Poland.
Electronically via the S-24 system, which uses a simple company agreement template. This option is the best solution for those who want to save time and money, but electronic company registration requires a trusted profile or a qualified signature.

How does the LLC formation process proceed?

The process of forming an LLC is as follows: 1. a visit to the notary to draft the company’s articles of association or signing the agreement electronically (in the S24 system), 2. contribution of capital (the minimum share capital for an LLC is 5000 PLN), 3. appointment of the board, 4. entry into the National Court Register (KRS).
What are my obligations after forming a company?

After forming the company and obtaining entry in KRS, you need to open a bank account and register the company in the Central Register of Beneficial Owners (CRBR). You also need to pay the civil law transaction tax (PCC 3) and submit the NIP 8 form to the tax office and optionally register for VAT.
How long does it take to form a company online?

Online company formation involves drafting a notarial act. The process takes about 1 hour, but the data of the newly established company may be visible in KRS only after 24 hours. Depending on the day and the working hours of the courts, the KRS update takes between 1 and 7 days.
Does an LLC have to be a VAT payer?

The revenue limit that exempts from VAT is 200,000 PLN. An LLC is required to register as an active VAT payer only after exceeding this amount. Otherwise, VAT registration is voluntary.
Does an LLC have to pay ZUS?

The obligation to pay ZUS contributions is imposed on individuals with sole proprietorships, partners in partnerships, and shareholders of single-person LLCs. If the president or a board member performs such a function, they are required to pay ZUS.
How to report the company to the tax office?

To report the company to the tax office, you must submit the NIP-8 form to the tax office within 21 days from the moment the company appears in KRS. Failure to meet this deadline will result in later complications, such as extending the VAT registration process.
